ARTICLES OF INCORPORATION
OF
DUNBAR, HAYWOOD COUNTY TRAINING
AND CARVER HIGH ALUMNI ASSOCIATION, INC
1. The name of the corporation is Dunbar, Haywood
County Training and Carver High School Alumni Association, Inc.
2. The duration of the corporation is perpetual.
3. the address of the principal office of the
corporation in the State of Tennessee shall be 709 E.
Jefferson Street, P.O. Box 466, Brownsville, Tenn. 38012
4. The corporation is not for profit.
5. The purpose for which the corporation is
organized are:
A. To preserve, promote, and record the cultural,
educational and social heritage of the institutions
formerly of Brownsville, Haywood County, Tennessee, known
as Dunbar School, Haywood Training School and Carver High
School;
B. To operate and function exclusively for charitable,
scientific literary, religions and educational purposes;
C. To establish, own, operate, support, lease, manage,
conduct and or/or maintain one or more offices, institutions,
and/or other facilities within and/or outside the State of
Tennessee for use in the accomplishment of its purposes;
D. To establish, join, cooperate with and/or engage in
joint ventures, associations, groups corporations and/or
any other entity to advance and promote the purpose for
which it is organized and the general welfare within and
outside the State of Tennessee;
E. To make loans, grants, awards, prizes and scholarships
Designed to accomplish its purposes;
F. To engage in any activities which are appropriate or
Incidental to its purposes;
G. To have and exercise all of the powers which are
permitted corporations by the Tennessee General Corporation
Act;
H. Provided; no substantial part of the activities of the
corporation shall be to carry on propaganda or otherwise
attempt to influence legislation, and the corporation shall
not participate in any political campaign.
I. Provided further, notwithstanding any other provision
of these articles, this corporation shall not carry on any
activity not permitted to be carried on by (1) a
corporation exempt from federal income tax under Section
501 (c) (3) of the Internal Revenue Code of 1954 or the
corresponding provisions of any future United States
Internal Revenue Law or (ii) a corporation, contributions
to which are deductible under Section 170(c) (2) of the
Internal Revenue Code of 1954 or the corresponding
provision of any future United States Internal Revenue
Law.
6. This corporation shall have members and any
person who has attended as a student, or been a paid faculty
member of any of the named institutions shall be eligible
for membership in the corporation.
7. The governing body of the corporation shall be a
Board of Directors. The directors shall be members and
shall be elected by the members for the term and in the
manner provided by the by-laws, except that there shall not
be less than seven (7) directors. By-laws of the
corporation shall be adopted by and may be amended or
repealed by a majority of the Board of Directors.
8. In the event of dissolution of the corporation,
the residual assets will be transferred and delivered to
one or more organizations which are exempt organizations
pursant to Sections 501 (c) (3) and 170(c) (2) of the
Internal Revenue Code of 1954 or corresponding provisions
of any prior or future Internal Revenue Code or to federal,
state or local governments exclusively for public
purposes.
